Buying a business is a high value, long term transaction very much like buying a property except that the risk is a lot higher than the risk in purchasing a property as an investment.

While getting proper accounting advice is essential for the verification of the financial health of a business you are purchasing, appointing us as your legal representative in the transaction ensures that you are informed of any legal issues affecting the business and the assets of the business such as licensing requirements, health requisitions, local government rules and licenses, encumbrances (such as fixed and floating charges), liquor licensing requirements and many other issues that may become apparent in course of our searches and inquiries.

As your legal representative in sales, we will ensure that all the terms of the contract are performed in a timely fashion and obtain all information required for the purposes of preparing the statement of completion also known as the settlement statement. We will attend completion and ensure that the correct documentation and funds are handed over in compliance with the terms of the contract.

Apart from the initial searches and due diligence, the rest of the process of completion of a business sale or purchase transaction is very similar to a property sale or purchase transaction. The systems and support available to conveyancers in property settlements are available to our lawyers and paralegals to ensure completion of the transaction at the same level of efficiency as property settlements.

  • Lease reviews and drafting of assignments of leases (additional cost);

  • Preparation of applications and notifications of change of ownership, vehicle transfers;
